These Terms of Service ("Terms") govern your access to and use of the website located at peachpilot.ai (the "Site") operated by Peach Pilot LLC, a Delaware limited liability company with its principal place of business at 3340 Peachtree Rd NE, Suite 325, Atlanta, GA 30326 ("Peach Pilot," "we," "our," or "us").

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Site.

These Terms apply to the Site and general marketing presence of Peach Pilot only. Use of the Peach Pilot enterprise AI platform and related services is governed separately by a SaaS Subscription Agreement and applicable Order Form executed between Peach Pilot and the client organization. In the event of any conflict between these Terms and a signed SaaS Subscription Agreement, the SaaS Subscription Agreement shall control.

1. Acceptable Use

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

•       Use the Site in any way that violates applicable federal, state, local, or international law or regulation

•       Use the Site to transmit or facilitate the transmission of any unsolicited commercial communications

•       Attempt to gain unauthorized access to any portion of the Site or any system or network connected to the Site

•       Use any automated means, including bots, scrapers, or crawlers, to access, monitor, or copy any content on the Site without our prior written consent

•       Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site, or that may harm Peach Pilot or users of the Site

•       Introduce any viruses, malware, or other malicious code into the Site

•       Impersonate or falsely represent your affiliation with any person or entity

•       Use the Site to collect or harvest personal information about other users

We reserve the right to terminate or restrict your access to the Site at any time, without notice, for any violation of these Terms or for any other reason at our sole discretion.

2. Intellectual Property

The Site and all of its content, features, and functionality — including but not limited to text, graphics, logos, images, icons, software, and the selection and arrangement thereof — are owned by Peach Pilot LLC or its licensors and are protected by United States and international copyright, trademark, trade secret, and other intellectual property laws.

These Terms do not grant you any right, title, or interest in the Site or its content. You may access and view the Site for your own personal, non-commercial informational purposes only. You may not:

•       Copy, reproduce, distribute, publish, or create derivative works from any content on the Site without our prior written consent

•       Remove or alter any copyright, trademark, or other proprietary notices

•       Use any Peach Pilot trademarks, logos, or branding without our prior written consent

Peach Pilot and the Peach Pilot logo are trademarks of Peach Pilot LLC. All other trademarks referenced on the Site are the property of their respective owners.

3. Disclaimer of Warranties

THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PEACH PILOT DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

PEACH PILOT DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. PEACH PILOT DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY INFORMATION ON THE SITE. ANY RELIANCE YOU PLACE ON SUCH INFORMATION IS STRICTLY AT YOUR OWN RISK.

Nothing on the Site constitutes professional advice of any kind, including legal, financial, tax, medical, or investment advice. You should seek independent professional advice before acting on any information found on the Site.

4. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PEACH PILOT LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF DATA, OR LOSS OF GOODWILL, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF PEACH PILOT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PEACH PILOT'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, Peach Pilot's liability shall be limited to the maximum extent permitted by applicable law.

5. Indemnification

You agree to indemnify, defend, and hold harmless Peach Pilot LLC and its officers, directors, members, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your violation of any third-party rights.

6. Third-Party Links

The Site may contain links to third-party websites or resources. These links are provided for your convenience only. Peach Pilot has no control over the content, products, or services on those sites and accepts no responsibility for them or for any loss or damage that may arise from your use of them. If you access any third-party website through a link on the Site, you do so at your own risk and subject to that website's own terms and conditions.

7. Privacy

Your use of the Site is also governed by our Privacy Policy, available at peachpilot.ai/privacy, which is incorporated into these Terms by reference. By using the Site, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy.

8. Modifications to the Site and These Terms

We reserve the right to modify, suspend, or discontinue the Site or any portion thereof at any time, with or without notice, and without liability to you.

We may update these Terms from time to time. When we do, we will update the "Last Updated" date at the top of this page. Your continued use of the Site after any such changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.

Material changes to these Terms will be communicated via a notice on the Site or, where appropriate, by email.

9. Enterprise Platform Services

These Terms govern use of the Site only and do not govern access to or use of the Peach Pilot enterprise AI platform, its AI agents, or any related services. If you are a client or prospective client interested in the Peach Pilot platform, your use of those services will be governed by a separate SaaS Subscription Agreement, Order Form, and applicable addenda negotiated and executed between Peach Pilot and your organization.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of laws provisions.

Any legal action or proceeding arising out of or relating to these Terms or your use of the Site shall be brought exclusively in the state or federal courts located in Fulton County, Georgia. You hereby consent to the personal jurisdiction and venue of such courts and waive any objection to the laying of venue in such courts.

Before initiating any formal legal proceeding, you agree to contact Peach Pilot at info@peachpilot.ai and attempt in good faith to resolve any dispute informally. If the dispute is not resolved within thirty (30) days of such contact, either party may pursue available legal remedies.

11. General Provisions

11.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Peach Pilot with respect to your use of the Site and supersede all prior and contemporaneous agreements regarding such subject matter. For enterprise clients, the applicable SaaS Subscription Agreement governs all platform-related matters.

11.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

11.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by Peach Pilot to be effective.

11.4 No Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Peach Pilot may freely assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.
